Agility Robotics Plans $2.5 Billion IPO After Merger Agreement

Agility Robotics, an American company known for developing the humanoid robot Digit, has recently struck a deal to go public by merging with a special purpose acquisition company, Churchill Capital Corp XI. This merger has valued Agility Robotics at $2.5 billion prior to attracting further investments and anticipates generating over $620 million in proceeds for the combined entity.

As part of the agreement, about $200 million will be raised through a private investment in public equity (PIPE) led by Foxconn along with other existing and new institutional investors. Upon completion of the merger, the company will retain the name Agility and will be listed on a major North American stock exchange under the ticker symbol AGLT.

Agility Robotics, based in Oregon, focuses on creating Digit, a robot designed for various industrial applications such as manufacturing, distribution centers, and logistics. The company states that Digit is already operational in commercial settings serving clients including Schaeffler, GXO, Toyota Motor Manufacturing Canada, and Mercado Libre. Digit has amassed over 65,000 working hours across nine customer sites according to Agility.

Furthermore, Agility Robotics reported more than $300 million in orders for the next-generation robot, Digit v5, pending fulfillment of contractual obligations. The potential client base includes over 30 companies. The humanoid robot Digit v5 is being developed with artificial intelligence capabilities to work safely alongside humans in industrial environments. Agility is developing its own physical AI platform for Digit, integrating environmental perception, decision-making, and motion control based on data collected during commercial robot operations.

Peggy Johnson, CEO of Agility Robotics, emphasized the company’s focus on expanding deliveries, increasing deployments, and advancing robotics technologies, safety systems, and corporate software. Management estimates that the market for humanoid robots in US manufacturing, distribution, and logistics could reach approximately $1 trillion.

Jonathan Hurst, the co-founder of Agility Robotics and a leading robotics specialist, highlighted that seamless coexistence with humans is crucial for the widespread adoption of humanoid robots — enabling them to operate in shared spaces without the need to overhaul existing infrastructure. The company collaborates with Google DeepMind and Nvidia, with the latter selecting Agility Robotics as the inaugural partner for Nvidia Halos — a security platform for physical AI systems and humanoid robots.

To facilitate mass production, Agility has established the RoboFab factory capable of producing up to 10,000 humanoid robots per year, alongside the cloud-based Agility Arc platform for managing robot fleets and deployments. Approximately 75% of Digit’s components are manufactured in the United States. The boards of directors of Agility Robotics and Churchill Capital Corp XI have unanimously approved the deal, which is expected to close this year pending shareholder approval, regulatory procedures, and standard closing conditions.
