Agility Robotics, a pioneer in the realm of humanoid robots for supply chains, is venturing into the public domain through a merger with a Special Purpose Acquisition Company (SPAC) called Churchill Capital Corp XI, a move poised to fuel the expansion of this cutting-edge technology. The merger will value the new entity at a substantial $2.5 billion, with the expectation to secure over $620 million in gross proceeds, including $420 million from Churchill’s trust account and an additional $200 million from investors like Foxconn, Amazon, Nvidia, and SoftBank.

Both boards of directors have greenlit the merger, slated to conclude by year-end, paving the way for Agility Robotics to debut on a major North American exchange under the ticker symbol “AGLT.” The company’s flagship product, the Digit humanoid robot, was specifically designed to assist warehouse and manufacturing staff with repetitive tasks such as lifting, stacking, and moving items. Notably, the latest model, Digit v5, offers enhanced capabilities, including a lifting capacity of 50 pounds, an extended reach of 7.2 feet, and the ability to operate up to 22 hours a day. Unlike its predecessors, Digit v5 is engineered to work alongside human employees rather than being confined to a designated workcell.

With a robust pipeline of over 30 prospective clients and secured orders exceeding $300 million for the Digit v5, Agility Robotics projects a considerable expansion in its market reach by refining the robot’s dexterity features. The company plans to allocate the funds from the SPAC merger towards fulfilling current orders, expanding commercial deployments, ramping up Digit v5 production, and further advancing its integrated platform encompassing robotics, software, safety systems, and manufacturing infrastructure. Agility’s CEO, Peggy Johnson, highlighted the rising demand for automation solutions driven by factors such as reshoring of production, shifting workforce demographics, and a reluctance among newer generations to undertake manual labor.

Agility Robotics has already demonstrated its prowess by deploying Digit robots across nine client facilities, accumulating over 65,000 operational hours. Notable collaborations include GXO, which utilized Digit for tote movement in its Georgia facility, and Amazon’s involvement through its investment arm, the Amazon Industrial Innovation Fund. Agility Robotics aims to maintain control over its technology by handling most operations internally, utilizing its cloud-based platform, Agility Arc, for seamless integration of the robots into diverse operational settings. Additionally, the company operates its own manufacturing plant in Oregon, enabling the production of up to 10,000 units annually and sourcing a significant portion of Digit’s components domestically.

As Agility Robotics ventures into the public market, the focus remains on catalyzing the adoption of humanoid robots in supply chains, a move poised to revolutionize the efficiency and productivity of warehouse operations worldwide.
